BBH also advises companies and foundations of the real estate and housing industry in the design, development and assessment of real estate projects, which we evaluate not only in terms of public and private building law but also from a business and tax perspective. Furthermore, we have particular expertise in matters of residential property law and property development law as well as in relation to the Energy Saving Ordinance (Energieeinsparverordnung - EnEV).
Our core advisory areas include the preparation and implementation of complex real estate transactions in the course of asset and/or share deals. In addition to reviewing and designing transactional structures that are suitable with regard to company and taxation law and which may sometimes lead to the formation of a separate company, we also perform due diligence investigations on behalf of our clients. In this context, we perform cross-disciplinary reviews of all legal areas that are relevant for the transaction and, if requested, we also conduct an economic assessment of the project. Moreover, we draft and negotiate all of the contracts required for the transaction and also assist our clients after the transaction has been completed, e.g. in the preparation and audit of the annual financial statements for the real estate companies.
In addition, we advise the real estate, housing and building sector on energy-law-related topics, such as energy efficiency. Energy saving is an important pillar of the German energy transition and of the European policy. The real estate and housing industry must comply with a large number of legal rules and regulations in this area. We provide comprehensive advice tailored to our client’s needs and requirements in this context. Furthermore, we assist our clients in the preparation and negotiation of rental contracts for commercial buildings and the enforcement of claims arising from such contracts.
