Due to the considerably increasing economic pressure on companies and the manifold changes in both past and future, business consultancy in the field of corporate transactions (mergers and acquisitions) and their funding are one of our main areas of practice. A special M&A case is the so-called remunicipalisation, i.e. the reacquisition of assets such as grid systems by municipalities.
We advise our clients on all questions relating to corporate and tax law which are relevant to the restructuring of corporate groups and individual companies. In addition to strategic advice and planning, BBH prepares and implements all necessary procedures.
Extensive projects generally involve the question of cost-effective financing. The traditional way of capital procurement is bank financing. One of the alternatives is citizen financing. Particularly in the field of energy, this is an interesting option for taking energy transition into one’s own hands. For the citizens it holds the advantage of making money by contributing to reshaping the energy sector, while municipalities and municipal companies gain investors for sometimes quite costly energy projects. This grass-roots participation incidentally leads to a higher acceptance with regards to structural changes to the community’s landscape. We provide advice on all models of banking and citizen financing. We know which statutory requirements are to be considered (keyword: banking and capital market laws) and make sure that your projects are realised successfully.
Remunicipalisation, i.e. grid system takeovers by municipalities, can be an interesting option for taking the operation of grid systems into one’s own hands and to maximise efficiency in the context of incentive regulation. Within the framework of joint cooperations, many different design options are available, not only at corporate law level, but also with respect to grid management. However, there are also various pitfalls turning concession processes into a highly complex matter. Here, we support our clients during the entire project, i.e. from the political planning to the concrete implementation of remunicipalisation. This also includes the drafting of concession contracts. We make sure that the concession process is legally sound and carried out in conformity with all existing regulations.
