The liberalisation of the energy markets and the increasing competition with respect to grid charges frequently requires a reorientation of the companies concerned as far as competition is concerned.

We support our clients in establishing new companies or subsidiaries. At the same time we supervise the establishment of joint ventures, e.g. in order to enable the joint construction of generation plants or the participation in electricity or gas trading. We provide extensive legal advice in relation to the foundation and business operation of the company, choosing the best legal form as far as taxes and corporate law are concerned, while taking into account all requirements that may arise under municipal or public law.

Furthermore, we provide advice in relation to the strategic reorientation of the company, which sometimes may require the involvement of a private investor. In this context we offer comprehensive support by evaluating the current situation of the company and the possible restructuring without a new investor, as well as carrying out probable tendering proceedings. Apart from providing legal advice, we also supervise/assist in the choice of potential investors, the negotiations with them, as well as the economic evaluation of the offers. We also advise investors when acquiring a company or a participation in a company.

Finally, we provide legal advice in the event of restructuring or insolvency, provided these events could not be avoided by means of previous restructuring measures.
